1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Tovi Labs LLC ("we", "us", "our"), the company behind MakrLog. By creating an account or using our platform at makrlog.com, you agree to these Terms in full. If you do not agree, you must not use MakrLog.

2. Description of Service

MakrLog is a web-based project management platform designed for vehicle conversion builds (vans, skoolies, trailers, truck campers, and similar projects). The service allows users to track tasks, manage budgets, log parts and expenses, upload and scan receipts, and receive AI-powered insights about their builds.

3. Eligibility

You must be at least 18 years of age to use MakrLog. By using the platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration and Security

• You may create an account using an email and password, or by signing in with a third-party provider such as Google. When using a third-party provider, you authorize us to access basic profile information (name and email) from that provider.
• You must provide accurate, complete, and current information when creating your account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• You must notify us immediately at support@makrlog.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that contain false or misleading information.

5. Subscriptions and Payments

MakrLog offers a free 14-day trial followed by paid subscription plans:

• Trial period: New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial.
• Pro plan: Available as a monthly subscription at $12.99/month or an annual subscription at $117/year (equivalent to $9.75/month). Prices are in US dollars.
• Billing: All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• Cancellation: You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, you retain access through the end of your current billing period.
• Refunds: Monthly subscriptions are non-refundable. For annual subscriptions, refund requests are evaluated on a case-by-case basis. To request a refund, contact us at support@makrlog.com. We reserve the right to approve or deny refund requests at our sole discretion.
• Price changes: We reserve the right to modify subscription pricing. Existing subscribers will be given at least 30 days' written notice before any price increase takes effect.
• Expired accounts: When a trial expires or a subscription is canceled, your account enters read-only mode. Your data is preserved, but you cannot create or edit builds, tasks, expenses, or other content until you subscribe.

6. Acceptable Use

You agree to use MakrLog only for its intended purpose. You must not:

• Upload content that is illegal, harmful, threatening, defamatory, obscene, or otherwise objectionable.
• Use the platform to store or transmit malware, viruses, or other harmful code.
• Attempt to access other users' data or accounts without authorization.
• Use automated tools, bots, or scrapers to extract data from the platform.
• Interfere with or disrupt the platform's infrastructure, servers, or networks.
• Circumvent or attempt to circumvent any usage limits, rate limits, or access controls.
• Resell, sublicense, or redistribute access to MakrLog without our written consent.
• Use the AI features to generate content unrelated to vehicle build projects.

7. Your Content and Intellectual Property

• Ownership: You retain full ownership of all content you create on MakrLog, including builds, tasks, budgets, parts lists, receipts, photos, and notes.
• License to us: By uploading content, you grant us a limited, non-exclusive, worldwide license to store, process, display, and transmit your content solely for the purpose of providing and improving the MakrLog service.
• AI processing: When you use AI features, your build data is sent to our AI provider (Anthropic) for processing. This data is used only to generate your requested insights and is not used to train AI models.
• Our property: MakrLog, its logo, design, code, and underlying technology are the intellectual property of Tovi Labs LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform as intended.

8. Third-Party Services

MakrLog integrates with third-party services to provide its functionality. These include Stripe for payment processing, Anthropic for AI features, Google for authentication, and cloud infrastructure providers for data storage. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or practices of any third-party services.

9. Service Availability and Modifications

• We strive to maintain high availability but do not guarantee uninterrupted or error-free access to MakrLog.
• We may perform maintenance, deploy updates, or make changes that temporarily affect availability.
• We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
• We will make reasonable efforts to notify users of significant changes via email or in-app notifications.

10. Termination

• By you: You may request account deletion at any time by contacting us at support@makrlog.com. Upon deletion, we will permanently remove your personal data and build content within 30 days, except where retention is required by law.
• By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will notify you of the reason for termination when possible.
• Effect of termination: Upon termination, your right to use MakrLog ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

11. Disclaimer of Warranties

MAKRLOG IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated insights and suggestions are provided for informational purposes only and should not be relied upon as professional advice. Always verify AI outputs before making purchasing or construction decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOVI LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF MAKRLOG, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF MAKRLOG SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Tovi Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of MakrLog, or your content.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of MakrLog shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" at the top of this page and notify you via email or through the platform. Your continued use of MakrLog after any changes constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tovi Labs LLC regarding your use of MakrLog and supersede all prior agreements and understandings.
